Terms of Service

Welcome to BRODV. These Terms of Service ("Terms") govern your access to and use of the websites, platforms, applications, products, and services (collectively, "Services") operated by BRODV LTD ("BRODV", "we", "us", or "our"), a company registered in England and Wales (Company Number pending), with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.

By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Our Services

BRODV operates multiple digital ventures and platforms, including but not limited to:

• Software products: subscription-based software tools, plugins, and SaaS platforms.
• Digital marketplaces: online platforms connecting buyers and sellers of physical and digital goods worldwide.
• Web services: website creation, design, and related digital services.

Each platform or product may have additional specific terms that supplement these Terms. In the event of a conflict, the platform-specific terms shall prevail for that particular Service.

2. Eligibility

You must be at least 16 years of age (or the minimum legal age in your jurisdiction) to use our Services. By using our Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

3. Account Registration

Some of our Services require you to create an account. When you do, you agree to:

• Provide accurate, current, and complete information.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be fraudulent.

4. Subscriptions and Payments

4.1 Pricing and Billing

Certain Services are provided on a subscription basis. By subscribing, you agree to pay the applicable fees as displayed at the time of purchase. All prices are stated in the currency indicated on the relevant platform and are inclusive or exclusive of applicable taxes as specified.

4.2 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By making a purchase, you agree to Stripe's terms of service. We do not store your complete payment card information on our servers.

4.3 Recurring Billing

Subscriptions automatically renew at the end of each billing period (monthly or annually, as selected) unless you cancel before the renewal date. You will be charged the then-current subscription fee at the time of renewal.

4.4 Currency and International Transactions

We serve customers worldwide. Prices may be displayed in various currencies. Your bank or payment provider may apply currency conversion fees for international transactions. These fees are your responsibility.

5. Refund and Cancellation Policy

5.1 Software Subscriptions

• You may cancel your subscription at any time through your account dashboard.
• Upon cancellation, you retain access to the Service until the end of your current billing period.
• Refunds for subscription payments are available within 14 days of the initial purchase or renewal, provided you have not made substantial use of the Service during that period.
• After 14 days, no refunds will be issued for the current billing period.

5.2 Marketplace Transactions

• Marketplace purchases are subject to the individual seller's return and refund policy, which must comply with applicable consumer protection laws.
• For physical goods, buyers have the right to return items within 14 days of receipt in accordance with the Consumer Contracts Regulations 2013 (for UK buyers) and the EU Consumer Rights Directive (for EU buyers), unless the item is exempt (e.g., custom-made or perishable goods).
• For digital goods, the right to cancel may be waived upon delivery if the buyer has given express consent.
• Disputes between buyers and sellers will be handled through our dispute resolution process as outlined in Section 12.

5.3 Web Services

• Custom services are subject to the specific agreement made at the time of order.
• Cancellations of custom work in progress may be subject to charges for work already completed.

6. Marketplace Terms

6.1 Role of BRODV

In our marketplace platforms, BRODV acts as an intermediary facilitating transactions between buyers and sellers. We are not the seller of products listed by third-party sellers, and we do not take ownership of their goods.

6.2 Seller Obligations

Sellers on our marketplace platforms agree to:

• Provide accurate product descriptions and images.
• Fulfill orders promptly and as described.
• Comply with all applicable laws regarding the sale of their products, including consumer protection, product safety, and customs regulations.
• Maintain a fair and responsive customer service standard.
• Not list prohibited items (counterfeit goods, illegal products, hazardous materials, etc.).

6.3 Buyer Obligations

Buyers agree to:

• Provide accurate shipping and payment information.
• Pay for items purchased in a timely manner.
• Communicate respectfully with sellers and our support team.

6.4 Marketplace Fees

BRODV may charge transaction fees, commission fees, or listing fees to sellers. These fees will be clearly communicated before any transaction is completed.

7. Intellectual Property

All content, designs, logos, trademarks, software, and other intellectual property associated with our Services are owned by BRODV LTD or our licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

For marketplace sellers, you retain ownership of your product listings and content, but grant BRODV a worldwide, non-exclusive licence to display and promote your listings on our platforms.

8. Acceptable Use

You agree not to:

• Use our Services for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to our systems, accounts, or data.
• Interfere with or disrupt the operation of our Services.
• Upload or transmit malicious software, viruses, or harmful code.
• Engage in fraudulent activity, including fake reviews, sham transactions, or identity fraud.
• Harass, threaten, or abuse other users.
• Scrape, harvest, or collect data from our platforms without authorization.
• Circumvent any security measures or access controls.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied.
• BRODV shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services.
• Our total liability to you for any claim arising from these Terms or your use of our Services shall not exceed the amount you have paid to us in the 12 months preceding the claim.
• For marketplace transactions, BRODV is not liable for the quality, safety, legality, or delivery of products sold by third-party sellers.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by applicable law.

10. Indemnification

You agree to indemnify and hold harmless BRODV LTD, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

11. Third-Party Services

Our Services may contain links to or integrate with third-party websites, services, or applications. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

12. Dispute Resolution

12.1 Marketplace Disputes

For disputes arising from marketplace transactions, we encourage buyers and sellers to first attempt to resolve the matter directly. If a resolution cannot be reached, either party may request BRODV's mediation through our support team. Our decisions in mediation are final and binding on the marketplace platform.

12.2 General Disputes

For all other disputes arising from these Terms or our Services, we encourage you to contact us first at contact@brodv.com. We will attempt to resolve the matter informally within 30 days.

12.3 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer in the European Union, you retain the benefit of any mandatory provisions of the law of your country of residence, and you may bring proceedings in the courts of that country. EU consumers may also use the European Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.

13. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Material changes will be communicated by posting the updated Terms on this page with a revised effective date and, where appropriate, by email notification. Your continued use of our Services after changes are posted constitutes acceptance of the revised Terms.

14. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) shall continue in effect.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
